We have a Startup and My Co-founder has built the algorithm and Software for that, I tackle the non-tech part since we have not done the founder agreement. I worried that he can collaborate with someone else for building the software as well as will ditch me. What all clauses should I put in the founder's agreement that will restrain him from the following: 1) Selling the software to anyone, without my cut or as well as without letting me know 2) I should also have ownership of the software as well as both of us should give ownership to the company after registration 3) Constraint on him, for ditching me anytime

Hello client as you are willing to protect your rights in the form of co founder in the form when ever this softy / algorithm is going to be sold to anyone else then ur rights should not get dumbed yes it is possible with the help of IPR laws in india
